Kleinberg Kaplan names two new members

Kleinberg, Kaplan, Wolff & Cohen, P.C. today announced that Kelly E Zelezen and Euchung Ung have been named members of Kleinberg, Kaplan, Wolff & Cohen firm, effective 1 January, 2012.

Kelly Zelezen joined the firm in 2006 and concentrates her practice on the asset management industry, where she advises managers of hedge funds, private equity funds and separately managed accounts. She counsels private investment funds on all aspects of their formation and ongoing operations including structuring, marketing materials, “market” terms, seed deals and side letters with investors, agreements with service providers and marketers as well as other general corporate matters.  Her practice also includes compliance matters, assisting SEC registered advisers with preparing Form ADVs and establishing compliance programs.

Additionally, Zelezen regularly advises clients on management company agreements, succession planning as well as executive compensation and employment matters. Zelezen received a BA, cum laude, from Washington & Lee University, and a J.D. from Rutgers School of Law – Newark, where she was a research editor for Rutgers Law Review and a member of Order of the Coif. She is a resident of Manhattan.

Euchung Ung joined the firm in 2008, and practices in the firm’s real estate group. Ung advises real estate investors, owners and lenders on transactions involving the acquisition, disposition, development, management, and leasing of office, retail, commercial and hotel properties nationwide. He also has a strong practice in real estate finance, providing counsel to clients on partnership and joint venture transactions (including real estate fund formation), and negotiating deals involving mortgage, bond and mezzanine debt financing arrangements, intercreditor agreements, and complex workout arrangements.  

Ung holds an LLB, with honours, from University of London (UK), an LM. in International Trade and Business Law from Fordham University, where he was a graduate research fellow, and a JD from Georgetown University.  He is a resident of Greenwich, Connecticut where he has served as a board member of the Chinese Language School of Fairfield County since 2005.
