The Active-Passive Investor Summit will bring together the largest, most prolific activist investors, passive investors, proxy advisors, activist lawyers and others to discuss corporate governance and shareholder activism from their varying perspectives. This will allow all of the constituents to discuss their philosophies and views on corporate governance and shareholder activism outside the context of a proxy fight and with no particular agenda to push. Top activists, such as Bill Ackman (Pershing Square), Jeff Ubben (ValueAct) and Dennis Johnson (Shamrock Activist Value Fund) will address the audience of institutional investors and openly take questions regarding their strategies. Additionally, there will be several panels to discuss ongoing developments in shareholder activism and corporate governance, such as (i) a panel of activist related professionals to discuss the proposed shareholder proxy access law and the prohibition on voting broker non-votes in uncontested elections, (ii) a panel of large institutional investors including Capital Research and Management Company and Ontario Teachers’ Pension Plan to discuss how they view a proxy fight at their portfolio companies and their decision making process on how to vote, and (iii) a panel of pension funds and endowments including CalSTRS to discuss their views on shareholder activism in the current environment, how they may have changed their allocation decisions and what terms they look for from activist hedge funds before investing with them.
