Jana Partners urges Markel to spin off ventures unit and launch major buyback

Activist investor Jana Partners is renewing pressure on insurance group Markel Group Inc to simplify its structure by divesting its ventures arm and returning capital to shareholders through a substantial share repurchase programme, according to a report by Bloomberg.

In a letter to Markel’s board, Jana managing partner Scott Ostfeld and managing director Jimmy Ganas argued that the conglomerate’s current setup – combining specialty insurance with private equity-style investments – has failed to deliver adequate shareholder returns and is contributing to a discounted valuation.

The firm urged Markel to separate its non-core Markel Ventures business, which has historically invested across sectors including healthcare and construction, and to simultaneously execute a large-scale share buyback of roughly $2bn. According to Jana, such a move would help narrow the valuation gap versus peers and improve capital efficiency.

While acknowledging improvements in Markel’s insurance operations under recent leadership changes, Jana said weak performance in the broader structure can no longer be attributed solely to legacy issues in the underwriting business.

The activist fund also criticised the company’s diversification strategy, arguing that markets have consistently shown a preference for more focused insurers or those that have divested non-core assets. It pointed to stronger relative performance among specialty insurance peers that have streamlined operations.

Markel’s stock has come under pressure following recent earnings results that fell short of analyst expectations. The shares were trading around $1,741 in New York, giving the company a market capitalisation of approximately $21.8bn, and are down slightly over the past year.
