Nelson Peltz’s activist investment firm Trian Fund Management is putting together a consortium of investors to pursue a potential take-private deal for Wendy’s, according to a report by Reuters citing an unnamed person familiar with the plans.
The group could include BlueFive Capital, which has backed luxury carmaker Bugatti, and Flynn Group, one of Wendy’s largest franchisees. A formal offer could emerge within the coming weeks, although the timing remains subject to change.
Wendy’s shares jumped about 12% following news of the potential transaction, which comes as the hamburger chain attempts to reverse a prolonged decline in customer demand and market share.
The company is operating under a new leadership team that is assessing strategic alternatives as part of a broader turnaround. Wendy’s withdrew its financial outlook for 2026 last week after reporting another decline in quarterly comparable sales.
The chain has now lost share of the US quick-service hamburger market for 17 consecutive months, according to Consumer Edge analyst Michael Gunther, with both customer transactions and visit frequency continuing to weaken.
The difficulties reflect broader challenges facing US fast-food operators. Promotional pricing and value deals have become less effective at attracting cost-conscious consumers, increasing pressure on restaurant chains to find alternative ways to stimulate demand.
The potential bid would mark a renewed attempt by Peltz to acquire Wendy’s. The activist investor previously explored a takeover of the company in 2022.
Peltz currently has an economic interest of 16.24% in Wendy’s, up from 16.09% disclosed last year. Trian’s direct stake has also increased slightly, to 7.85% from 7.78%, according to regulatory filings.
Trian has a long history of pushing companies to change their strategies and board structures. Peltz, who co-founded the investment firm in 2005, said earlier this year that he was willing to consider acquiring more companies outright, marking a potential evolution from his traditional activist approach.
Wendy’s, which has a market capitalisation of approximately $1.44bn, said it would carefully evaluate any proposal received from Trian in accordance with its fiduciary responsibilities.
Trian has reportedly not commented on the potential transaction, while BlueFive Capital and Flynn Group had not immediately responded to requests for comment.
